By bringing these distinctive merchants together, The Marketplace will create an unsurpassed shopping experience all in one location. Expect to find unique gifts from craftsmen and artists, custom and estate jewelry, handbags, gourmet treats, monogrammed items, and so much more! While you shop, be sure to also have your children’s picture snapped with Santa, by Wingate Downs Photography. Or grab some food from Foodworks or a cup of coffee from Jittery Joes. The Junior League of Athens is proud to present The Marketplace: A Holiday Shopping Extravaganza! We are excited to host the event at a new venue in 2010, the Georgia Center for Continuing Education! We are also looking forward to new special events including a Marketplace Holiday Brunch.
The Junior League of Athens is an organization of women committed to promoting volunteerism, developing the potential of women, and improving the community through the effective action and leadership of trained volunteers. The Marketplace was created to be a major fundraiser for the League’s community projects.
The League is accepting applications from local and regional merchants for The Marketplace at the Georgia Center, November 19-21, 2010. Shoppers will enjoy a wide selection of merchandise and special events throughout the weekend. There will be Preview Shopping, a Holiday Brunch and Silent Auction, pictures with Santa, and many other exciting events throughout the weekend. All proceeds from the event will be used to support the Junior League’s focus area of Women, Children and Poverty.
We are offering multiple booth sizes, ranging from 5’x8’ to 10’x20’ with prices starting at $250. In our new venue, booths will be placed throughout the Georgia Center, in the Mahler Auditorium, Pecan Tree Galleria and Hill Atrium. A merchant application and temporary lease agreement are included in this packet. Interested merchants are encouraged to return completed applications, payment, and all supporting materials as soon as possible to secure their booth space. We will have a limited number of booth spaces available this year, so don’t delay! Merchant applications will be prioritized based upon date of receipt. Please include your merchant application, temporary lease agreement and payment by August 1, 2010. Applications submitted after this time will incur a $50 late fee.

The Junior League WILL limit the number of booths in each of the above indicated categories. Every effort will be given to assign your preferred booth space. Assignments will be made at the discretion of the Marketplace Committee and according to date of receipt of your completed application.
A deposit of at least half of your total booth cost is due with your completed application by August 1, 2010.
If not paid in full, the remaining balance of the booth fee is due by October 1, 2010.
A security deposit of $100 is also required and is due by October 1, 2010.
Merchant booths are to remain intact and open for business during the advertised hours of the show. Fire code and venue policies restrict from breaking down before the final close of The Marketplace. Any merchant choosing not to be completely set up by 4:00 p.m. for Preview Shopping or choosing to break down their booth set up prior to the close of The Marketplace will forfeit the $100 security deposit. Reimbursement checks for the security deposit will be given to all merchants immediately following the close of The Marketplace, prior to merchant departure.
In order to secure booth space, please return this completed application, signed temporary lease agreement, minimum 50% deposit toward booth payment, and other supporting materials by August 1, 2010. Late applications with incur a late fee of $50.

TEMPORARY LEASE AGREEMENT
The Marketplace 2010
THIS AGREEMENT is made and entered into this ____ day of ___________ 2010, by and between The Junior League of Athens, Inc. (JLA), as Lessor, and _____________________
______________ as Lessee.
WHEREAS, JLA is sponsoring The Marketplace 2010, which will be held at The Georgia Center in Athens, Georgia beginning on November 19, 2010, and concluding on November 21, 2010 (hereinafter, “The Marketplace” ;
WHEREAS, JLA is offering temporary booth space at The Marketplace and Lessee desires to lease temporary booth space from JLA;
WHEREAS, in consideration of the payment of rents, fees and other charges as provided for herein, as well as the mutual covenants and conditions hereinafter set forth, JLA and Lessee covenant and agree as follows:
1. JLA shall provide to Lessee a booth space on the floor at The Marketplace, the size of which space shall depend upon availability. In addition to said booth space, JLA shall provide one 3 ft. x 6 ft. skirted table, two chairs, two ‘S’ hooks, one business sign and access to several wastebaskets throughout the exhibitor space.
2. Lessee shall keep its booth open and staffed during all published hours of operation during the three (3) day period of The Marketplace, which hours of operation shall be determined by JLA, in its sole and exclusive discretion.
3. Lessee shall pay to JLA rent based upon the size and location of the booth space that Lessee obtains, which rent shall be in an amount equal to that indicated on the Merchant Application (which Application is incorporated by reference as if fully set forth herein) for said booth type.
4. Lessee shall tender fifty percent (50%) of the total rent owed for the booth type it has selected in order to reserve and secure said booth space. On or before October 1, 2010, Lessee shall remit the remaining balance owed to JLA for the booth space it has reserved. All advance rent payments are non-refundable, except as otherwise provided for within the Merchant Application.
5. Lessee shall tender a refundable security deposit in the amount of One Hundred Dollars ($100) at the time of submitting its final rent payment. Said security deposit shall be refunded to Lessee at the conclusion of The Marketplace, so long as Lessee has complied with all terms, conditions and obligations of this Agreement and has returned said booth space in a clean and orderly manner.
6. Lessee shall submit all payments to JLA by way of certified check, money order, approved company check or credit card.
7. Lessee shall not voluntarily, by operation of law or otherwise, assign, transfer, mortgage or encumber all or part of Lessee’s interest in the leased premises without first obtaining in each and every instance the prior written consent of JLA.
8. This Agreement and the covenants and conditions herein contained shall inure to the benefit of and be binding upon JLA, its successors and assigns, and shall be binding upon the Lessee, its successors and assigns, and shall inure to the benefit of Lessee and only such assigns of Lessee to whom the assignment by Lessee has been consented to by JLA in accordance with the terms of this Agreement.
9. Lessee shall abide by and comply with all rules and regulations for the Marketplace as published by JLA.
10. Lessee shall be solely and exclusively responsible for obtaining any permits, licenses, or other approvals required by local, state or federal government authorities to operate its business at The Marketplace. Lessee acknowledges that JLA has made no representations or warranties regarding the need for such permits, licenses or other governmental approvals.
11. Lessee shall indemnify and hold harmless JLA, its officers, agents, and members, from and against any and all claims, causes of action, damages, liability or expenses resulting from any personal injury, loss of life, damage to property, or other damages arising from or out of the occupancy or use by Lessee of the booth or any part thereof or any other part of JLA’s property, which is occasioned wholly or in part by any negligent act or omission of Lessee, its officers, agents, contractors or employees. Indemnification from said claims, causes of action, damages, liabilities and expenses shall include, but not be limited to, those resulting from accidents and occurrences in or at the premises, the sale of any good or services by Lessee, or its agents, the consumption or existence on the Georgia Center property of any product sold by Lessee, its employees, servants, agents, officers or contractors.
12. Lessee shall be solely and exclusively responsible for the collection of all applicable federal, state and local sales tax related to the sale of Lessee’s products or services.
13. JLA shall have no responsibility for the safety or protection of Lessee’s personal property which is located at The Marketplace. Lessee hereby acknowledges that any and all personal property of Lessee is kept on the premises at Lessee’s sole and exclusive risk. JLA shall have no liability for any damage to Lessee’s property irrespective of the manner in which such damage was caused.
14. Upon breach or default by Lessee, JLA may terminate this Agreement at any time during the term hereof by giving Lessee no less than one (1) hour advance notice of said termination, at which time Lessee shall surrender Lessee’s booth space instanter.
15. In the event any litigation or proceeding is initiated after the date of this Agreement with respect to this Agreement or its subject matter, any successful party in such litigation or proceeding shall be entitled to recover its/their reasonable attorney's fees, costs, and expenses from any unsuccessful party in the litigation.
16. The Parties agree that in the event that any of the terms of this Agreement are found to be unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall not be affected thereby and shall remain in full force and effect.
17. This Agreement sets forth the entire and complete agreement of the Parties and may only be amended by written agreement signed by all Parties hereto.
18. This Agreement shall be construed and governed in accordance with the laws of the State of Georgia. The undersigned parties consent to jurisdiction and venue, and hereby waive any objections thereto, so that any and all disputes arising under this Agreement shall be adjudicated in a court of competent jurisdiction located within Athens-Clarke County, Georgia.
